By using this Site, you and your organization (collectively, “User”), have agreed to be bound by these terms and conditions of use (“Terms”), which may be modified by Graybar at any time by updating them and posting them on the Site. Use of the Site after the changes to these Terms are posted will be considered acceptance of those changes. Graybar may also change the Content or the Site at any time without notice. Upon enrollment, Graybar will provide an administrator selected by the organization (“Administrator”) with access to certain web pages and the ability to use certain functions as determined solely by Graybar. The Administrator shall have the ability to set up additional members of the organization as Users. All access shall be only for legitimate business purposes. You agree not to modify any of the Content on the Site or reproduce, publicly display, perform, distribute or otherwise use the Site or the Content for other than your internal business purposes. These Terms shall be governed by the laws of the State of Missouri (without regard to conflicts of laws provisions). Each party irrevocably consents to the jurisdiction of the courts of Missouri.

WAIVER
All waivers must be in writing and signed by an authorized representative of the party waiving its rights.

SEVERABILITY
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, such holding shall not affect the validity or enforceability of any other provision of these Terms.
